Terms of Service
Clear, fair terms for working with rflow.
Agreement to terms
By hiring rflow or accessing our website, you agree to these Terms of Service. These terms apply to all clients, visitors, and users of rflow services.
rflow is operated by an independent contractor based in Bangladesh, serving clients in the US, UK, and globally. All services are provided in English.
Our services
rflow provides the following services:
- Web design and development
- AI automation and workflow building
- E-commerce development (Shopify and headless)
- SEO and content systems
- Finance and trading bot development
- Website care and maintenance
The specific scope, deliverables, timeline, and price for each engagement are agreed in writing before work begins. We will not begin work without a signed scope or written confirmation.
Fixed-price scopes
All projects are priced on a fixed-price basis. The agreed price covers everything defined in the written scope.
- Changes to scope — any additions or changes outside the original scope will be quoted separately before work begins.
- No surprise invoices — you will never receive an invoice for work not agreed in writing.
- Price adjustments — we reserve the right to quote a revised price if the project scope materially changes at your request.
Payment terms
Payment terms are agreed in writing for each project. Standard terms are:
- Deposit — 50% upfront before work begins on projects over $1,000.
- Final payment — 50% upon project completion, before final files or access are transferred.
- Monthly retainers — billed on the 1st of each month, payable within 7 days.
- Late payments — work may be paused on accounts overdue by more than 14 days.
Accepted payment methods: Stripe, Wise, PayPal, or Upwork Escrow.
Intellectual property
Upon receipt of final payment, you own all deliverables produced for your project including code, designs, and content created specifically for you.
- Third-party assets — any fonts, stock images, plugins, or open-source libraries used remain subject to their own licences.
- Portfolio rights — we retain the right to display completed work in our portfolio and case studies unless otherwise agreed in writing.
- Tools and frameworks — internal tools, templates, and frameworks we use remain our intellectual property.
Client responsibilities
To ensure projects run smoothly, clients agree to:
- Provide timely feedback within the agreed review windows (typically 48–72 hours).
- Supply all required assets, content, and access credentials on time.
- Designate a single point of contact for the project.
- Notify us promptly of any changes in project requirements.
Delays caused by late client feedback or missing assets may affect the agreed timeline. We are not liable for project delays caused by the client.
Confidentiality
We treat all client information as confidential. We will not disclose your business information, project details, or data to third parties without your consent.
If required, we are happy to sign a mutual NDA before work begins — simply request one at hello@rflow.dev.
Limitation of liability
Our liability for any claim arising from our services is limited to the total fees paid by you for the specific project in question.
We are not liable for:
- Loss of revenue or profits resulting from the use or inability to use our deliverables.
- Third-party service outages (hosting, APIs, platforms).
- Security breaches caused by client-managed infrastructure.
- Changes to third-party platforms (e.g. Shopify, WordPress) that affect functionality after project completion.
Termination
Either party may terminate a project engagement with 14 days written notice.
- Work completed up to the termination date will be invoiced at the agreed rate.
- Deposits are non-refundable unless we cancel the project without cause.
- All deliverables completed and paid for will be transferred to you upon termination.
Governing law
These terms are governed by the laws of England and Wales. Any disputes will be resolved through good-faith negotiation first. If unresolved, disputes will be referred to the courts of England and Wales.
